WONADEM UBA FOUNDATION (WUBAF) CONSTITUTION

PREAMBLE

The Constitution is founded on the principles of love, care, comfort, unity, service to humanity, community development, youth empowerment, and support for the poor and needy. It reflects the commitment of members to promote welfare, progress, and equal opportunities for all.

ARTICLE 1: SUPREMACY OF THE CONSTITUTION

The Constitution is the supreme governing document of WUBAF. All members and leaders must act in accordance with its provisions, and any rule or action inconsistent with it shall be void.

ARTICLE 2: ENFORCEMENT OF THE CONSTITUTION

Any member who believes that a decision, action, or omission violates the Constitution may seek redress through the Resolution Board, which has authority to make binding decisions.

ARTICLE 3: DEFENCE OF THE CONSTITUTION

Members have a duty to defend and uphold the Constitution and may challenge any act that seeks to undermine its provisions.

ARTICLE 4: THE NAME

The organization shall be known as Wonadem UBA Foundation (WUBAF) and shall remain non-political, non-sectarian, and non-ethnic.

ARTICLE 5: HEAD OFFICE

The Head Office of WUBAF shall be located at Lolito in the Volta Region of Ghana.

ARTICLE 6: THE MOTTO

The official motto of the Foundation is:

"WUBAF โ€“ We Love, We Care, We Comfort."

ARTICLE 7: AIMS AND OBJECTIVES

The Foundation aims to:

  • Support the poor, widows, orphans, elderly, and vulnerable.
  • Empower youth through education and leadership development.
  • Promote entrepreneurship, ICT skills, and modern agriculture.
  • Encourage community development and economic empowerment.
  • Raise funds to support humanitarian initiatives.
  • Promote love, unity, peace, and social responsibility.

ARTICLE 8: MEMBERSHIP

Membership is open to individuals worldwide who:

  • Have a passion for helping others.
  • Are committed to the Foundation's objectives.
  • Pay dues and levies.
  • Participate actively in programs and meetings.

ARTICLE 9: RIGHTS AND RESPONSIBILITIES OF MEMBERS

Members have the right to:

  • Equal treatment.
  • Vote and be voted for.
  • Participate in Foundation activities.
  • Access welfare benefits.

Members are required to:

  • Pay dues promptly.
  • Attend meetings and programs.
  • Uphold the Constitution.
  • Support Foundation activities.

ARTICLE 10: MEMBER IDENTIFICATION

Members shall possess official WUBAF paraphernalia such as:

  • Identity cards
  • T-shirts
  • Caps
  • Cloths and other approved materials

Former members are prohibited from using Foundation paraphernalia.

ARTICLE 11: MANAGEMENT COMMITTEE

A Management Committee shall oversee the affairs of the Foundation and provide strategic direction.

ARTICLE 12: EXECUTIVE OFFICERS

The leadership structure consists of:

  • CEO/Founder
  • Co-Founders
  • General Overseer
  • PRO
  • Secretary
  • Treasurer
  • Organizer
  • Zonal Overseers
  • Heads of Departments
  • Ex-Officio Members

ARTICLE 13: DUTIES OF OFFICERS

Defines the roles and responsibilities of all executive officers, including leadership, communication, administration, finance, coordination, and supervision of Foundation activities.

ARTICLE 14: WUBAF INTERNATIONAL FUNDS & GRANTS OFFICE (WIFGO)

Responsible for sourcing, preparing, and managing grants and international funding opportunities.

ARTICLE 15: UNIT TRAINING MANAGER (UTM)

Coordinates leadership development and training programs for members and executives.

ARTICLE 16: RESOLUTION BOARD

Handles disputes, complaints, and conflicts among members and promotes peace, fairness, and unity within the Foundation.

ARTICLE 17: COUNCIL OF ELDERS

Provides guidance, wisdom, and advice to ensure peaceful coexistence among members.

ARTICLE 18: ZONES AND ZONAL EXECUTIVES

The Foundation shall operate through zones led by:

  • Zonal Overseers
  • Zonal Organizers
  • Zonal Treasurers
  • Zonal Secretaries

They are responsible for implementing programs, fundraising, monitoring activities, and reporting to headquarters.

ARTICLE 19: DEPARTMENTS AND DEPARTMENTAL EXECUTIVES

Departments shall be established to facilitate specialized programs, capacity building, and implementation of Foundation initiatives.

ARTICLE 20: METHODS OF ELECTION, VOTING, OR APPOINTMENT

Leaders may be appointed by the Founder and Co-Founders or elected through voting as determined by the Foundation.

ARTICLE 21: TENURE OF OFFICE

Executives serve based on commitment and performance and may remain in office until otherwise determined by leadership.

ARTICLE 22: REMOVAL FROM OFFICE

An officer may be removed due to:

  • Resignation
  • Lack of commitment
  • Vote of no confidence
  • Incapacity
  • Suspension

ARTICLE 23: HANDING OVER PROCEDURES

Outgoing officers must properly transfer documents, assets, records, and responsibilities to incoming officers.

ARTICLE 24: GENERAL MEETINGS

The Foundation shall hold:

  • Annual General Meetings
  • Special Meetings
  • Online Meetings

Attendance is compulsory for members.

ARTICLE 25: FINANCES

Sources of income include:

  • Monthly dues
  • Donations
  • Fundraising
  • Welfare contributions
  • Endowment Fund

ARTICLE 26: WUBAF WELFARE SCHEME

A compulsory welfare scheme provides financial support to members during times of need and is funded through monthly contributions.

ARTICLE 27: WELFARE BENEFITS

Provides welfare support in cases such as:

  • Death
  • Marriage
  • Childbirth
  • Critical illness
  • Natural disasters

Benefits are available only to active members who meet eligibility requirements.

ARTICLE 28: CLAIMS OF BENEFITS

Outlines procedures for claiming welfare benefits and conditions under which benefits may be forfeited.

ARTICLE 29: SOURCES OF INCOME FOR THE WELFARE SCHEME

The Welfare Scheme is funded through:

  • Monthly dues
  • Investments
  • Voluntary contributions
  • Donations

ARTICLE 30: WELFARE SCHEME MANAGEMENT

A five-member committee shall manage the Welfare Scheme and ensure accountability and sustainability.

ARTICLE 31: THE FUNDS

Foundation funds shall be used only for approved humanitarian, educational, welfare, administrative, and developmental purposes.

ARTICLE 32: THE WUBAF ENDOWMENT FUND

A long-term sustainability fund established to:

  • Support future generations.
  • Generate income for Foundation activities.
  • Advance education, leadership, empowerment, and humanitarian programs.

ARTICLE 33: BANKING AND SIGNATORIES

Provides guidelines for opening bank accounts and identifies authorized signatories for Foundation funds.

ARTICLE 34: AUDITING BOARD

A team of auditors shall review the Foundation's financial records and ensure transparency and accountability.

ARTICLE 35: CHANNEL OF COMMUNICATION

Official communication shall be conducted through:

  • Phone calls
  • Text messages
  • Emails
  • Letters
  • Social media platforms

A formal reporting hierarchy is established for handling concerns and suggestions.

ARTICLE 36: ANNUAL PROGRAMS

WUBAF shall organize:

  • Outreach programs
  • Community service projects
  • Annual tours
  • End-of-year celebrations
  • Other approved programs

ARTICLE 37: ADOPTION, AMENDMENT, AND REVIEW

The Constitution may be amended by a two-thirds majority vote of members and reviewed when necessary.

ARTICLE 38: PROMULGATION

The revised Constitution was adopted on 24th November 2024 at Lolito, Volta Region, Ghana, and took effect on 1st January 2025.

ARTICLE 39: DECLARATION

Members formally adopt and recognize the Constitution as the official governing document of WUBAF.

Members pledge loyalty, dedication, confidentiality, and commitment to the mission and values of WUBAF.

Leaders pledge to uphold the Constitution, maintain accountability, and faithfully serve the Foundation and its members.
